JOB SUMMARY:
• Member of APAC Legal team; Reports to APAC Counsel based in Tokyo, Japan
• Understand the strategy and objectives of both business (group-level and country level) and Legal and Compliance Team globally, and act as a good business partner, providing solution oriented, holistic and pragmatic legal and compliance advice tailored to the business needs
ESSENTIAL DUTIES AND RESPONSIBILITIES:
• Work closely/directly with members in all other functions, e.g., Medical Device Representatives/Sales (MDR), Marketing, Device Support Specialists (DSS), Medical Affairs/Medical Science Liesons (MA/MSL), Finance, HR and Supply Chain Management and IT (SCM/IT), for all day-to-day legal and compliance topics surrounding Japan business operation.
Key duties and responsibilities include:
• Drafting, reviewing, and negotiating a wide range of agreements that include agreements with
(i) institutions/hospitals and distributors for providing our medical devices and services:
(ii) agreements with healthcare professionals (HCPs) for different types of HCP engagements
(e.g., speaker engagements, advisory boards); and
(ii) service agreements with vendors for Marketing, SCM/IT, HR.
• Guide other members in such as MDR, Marketing, DSS, MA/MSL, HR to comply with various local regulations such as promotional regulations/guidelines, the Fair Competition Code of the Medical Devices Industry (医療機器業公正競争規約), Japan data privacy law and its guidelines, labor and employment regulations, and provide proactive hands-on supports to help them achieve their goals/objectives
• Review requests for HCP engagements and provide practical guidance to ensure compliance with external regulations and internal policies
• Provide legal and compliance training to employees/staffs to protect Japan against potential legal/compliance risks and ensure fostering an environment of legal compliance throughout the organization; Training may include preparing and walking Japan employees through guiding documents for implementation of legal/compliance operational tools/systems
• Prepare and review corporate housekeeping documents (e.g., annual shareholders’
resolution) if assigned by APAC Counsel
