Role Overview
We are seeking an experienced Contracts Specialist / Contracts Manager to join our legal team in Japan. This role supports the drafting, review, negotiation, execution, and lifecycle management of a wide range of commercial agreements, while partnering closely with internal stakeholders and the legal team worldwide. The position requires sound commercial judgment, strong collaboration skills, and the ability to balance business needs with contractual risk, company policy, and compliance requirements in a multinational environment.
Key Responsibilities
• Draft, review, negotiate, and manage a variety of agreements, including service agreements, NDAs, facilities contracts, indirect materials agreements, and other commercial contracts as assigned.
• Manage contracts across the full lifecycle, from intake and review through approval, execution, tracking, and close-out or renewal.
• Partner with attorneys and legal professionals across the legal teams within the Lam Legal department (e.g., Ethics & Compliance, Intellectual Property Legal Group, Corporate Legal), and cross-functional stakeholders to support consistent and efficient contract review and approval processes.
• Apply and support compliance with internal contracting policies, procedures, and approval frameworks; escalate non-standard or higher-risk issues appropriately.
• Provide clear, practical guidance to internal stakeholders regarding contractual terms, risk considerations, company policies, and mitigation approaches.
• Maintain accurate contract records and key data within the contract lifecycle management system, including setup and coordination of electronic signature packages (e.g., DocuSign).
• Proactively follow up with stakeholders to support timely execution of contracts.
• Prepare, proofread, translate (EN↔JP) and redline legal documents, correspondence, and training or reference materials.
• Contribute to the development and maintenance of standard templates, clause libraries, playbooks, and internal knowledge resources.
• Support training and communication on contracting processes and best practices across the organization.
• Handle routine and moderately complex agreements with a high degree of independence, while consulting with legal leadership on complex, non-standard, or sensitive matters.
